The Mergers and Acquisitions practice group assisted a purchaser in acquiring a multi-site petroleum distributor with retail facilities in New Hampshire, Vermont and Massachusetts. The acquisition involved the negotiation of complex environmental and general indemnity escrows to address multiple, contingent environmental and real estate liabilities. The Firm also coordinated environmental, land use, and operational permits, and conducted real estate due diligence in all three States working with engineers, environmental consultants, surveyors, title companies, and municipal officials. Perkins Thompson's multi-discipline team brought together an array of expertise in M&A, petroleum marketing, environmental, real estate, and land use fields of law to serve the client. Directors heading up the team were John Upton and Melissa Murphy. Other directors and associates assisting in the acquisition were Jim Katsiaficas, Hope Jacobsen, Bill Sheils, and Chris Dargie.
